General Terms & Conditions
Online Counselling Services — The Netherlands
I. General
These General Terms & Conditions apply to every offer, every quotation and any agreement between The Quilt Psychology (KVK 94312400) (“Counselor”) and a client that has entered into an agreement with Counselor (“Agreement”). Any deviations from these General Terms & Conditions are only valid if these have been explicitly agreed in writing.
II. Agreement
1. The Quilt Psychology will execute the Agreement in accordance with the best of its knowledge and ability, and in accordance with the requirements of good professional practice.
2. You will ensure that all information Counselor indicates is necessary — or which you should reasonably understand to be necessary — is provided to Counselor in a timely manner for the execution of the Agreement.
3. The agreement is valid for an indefinite period, unless the Parties expressly and in writing agree otherwise. Both Parties are allowed to end the Agreement at any time and without giving a reason. Both Parties have the right to suspend the Agreement if the other Party does not meet its obligations.
4. If the Agreement has ended, any outstanding payments due to Counselor become immediately payable. If Counselor suspends the fulfilment of obligations, Counselor reserves all rights under the law and the Agreement.
III. Cancellation & No-Show Policy
1. Sessions must be cancelled or rescheduled at least 24 hours in advance. Cancellations made with less than 24 hours’ notice, or failure to attend a session without notice (“no-show”), will be charged at the full session rate.
2. Counselor reserves the right to end a session early if the client is more than 15 minutes late to an online session, and the full session fee will remain due.
3. In the event that Counselor needs to cancel a session, you will be notified as soon as possible and a replacement session will be offered at no extra cost.
IV. Payment Terms
1. Sessions are billed at the end of each month. Payment is due within 14 days of the invoice date, unless agreed otherwise in writing.
2. Any objections regarding the amount of an invoice do not suspend the payment obligation.
3. If you fail to pay within 21 days of the invoice date, you are in default by operation of law. In that case, statutory interest (wettelijke rente) applies, as defined under Dutch law. Interest is calculated from the moment you are in default until full payment has been made.
4. If payment is not received within 21 days, The Quilt Psychology may, without further notice, suspend the provision of services with immediate effect. You will be informed in writing.
5. If you fail to meet your payment obligations, all reasonable costs incurred in recovering the debt — whether in or outside court — will be for your account.
6. The Quilt Psychology reserves the right to annually adjust session fees. Any fee changes will be communicated in writing at least one month in advance.
V. Confidentiality and Professional Secrecy
Both parties are bound to secrecy of all confidential information they receive under the Agreement or from any other source. Information is considered confidential if communicated as such by the other party, or if this arises from the nature of the information.
If, on the basis of a legal provision or court decision, The Quilt Psychology is required to disclose confidential information to a third party (for example, as designated by law, including on ethical grounds, or by a competent court), and cannot rely on a legally recognised right of non-disclosure, then The Quilt Psychology is not obliged to pay compensation for such disclosure.
VI. Personal Information and Privacy
Your personal and, where applicable, health-related information will be processed in accordance with applicable laws and regulations, including the General Data Protection Regulation (GDPR / AVG), and in accordance with The Quilt Psychology’s Privacy Statement.
VII. Online Sessions
1. Sessions are conducted online via a secure video platform. You are responsible for ensuring you have a suitable, private environment and a stable internet connection for each session.
2. The Quilt Psychology will use a platform that meets applicable privacy and data security requirements. Details of the platform used will be communicated at intake.
3. If a session is interrupted due to a technical failure on the Counselor’s side, the session will be resumed or rescheduled at no additional cost. If the interruption is on the client’s side, the session will continue for the remaining time or, at Counselor’s discretion, be rescheduled.
4. Online counselling may not be appropriate in all situations. In the event of a crisis or emergency, you are encouraged to contact your local emergency services (112) or a crisis line immediately. Counselor is not an emergency service.
VIII. Liability
1. Any liability of Quilt Psychology is limited to direct damages and always limited to a maximum of the amount of the payment by Counselor’s insurer in that specific matter.
2. Any liability of The Quilt Psychology for indirect damages is excluded. This includes consequential loss, loss of income, lost savings, emotional damages, or damages resulting from decisions you have taken, whether or not in consultation with Counselor. You are at all times responsible for your own choices.
3. The limitation of liability for direct damages does not apply if the damages result from intentional misconduct or gross negligence (opzet of bewuste roekeloosheid) on the part of The Quilt Psychology or its employees.
IX. Applicable Law and Jurisdiction
1. Dutch law applies to these General Terms & Conditions, as well as to all Agreements and legal relationships between the client and The Quilt Psychology.
2. Any disputes will be submitted exclusively to the competent court in the Netherlands.
3. The parties will only appeal to the courts after they have made every effort to resolve the dispute by mutual agreement.
X. Complaints Procedure
1. If you have a complaint about the services provided by The Quilt Psychology, please raise this directly with Counselor in the first instance. Counselor will acknowledge your complaint within 5 business days and work to resolve it.
2. If the complaint cannot be resolved to your satisfaction, you may be referred to the applicable professional complaints body.
XI. Miscellaneous
1. If one or more provisions of these General Terms & Conditions are null and void or are nullified, the remaining provisions continue to apply in full. The parties will then consult with regard to new provisions to replace the invalid or nullified provisions, observing as far as possible the purpose and scope of the original provisions.

3. These General Terms & Conditions may be amended from time to time. The most recent version will always apply. Clients will be informed of material changes.
